TERMS AND CONDITIONS OF SALE

The following terms are applicable unless expressly modified in writing by an officer of NAM. An e-mail from an authorized representative of NAM is considered by NAM to be an acceptable writing.

ACCEPTANCE: All quotations by NAM in this document constitute an offer to sell the goods described (The “Offer”) and are not an acceptance of any offer of Buyer. Acceptance by Buyer of this offer, which, upon acceptance, constitutes the Agreement for NAM to sell and Buyer to buy goods, is expressly and exclusively limited to the terms, conditions, and limitations in this document; such terms, conditions, and limitations being the only terms, conditions, and limitations to which NAM will agree. This offer is not an acceptance of any offer or counter-offer of Buyer, and serves as a written rejection of any additional, different, or inconsistent terms, conditions, or limitations contained in or incorporated by reference in any forms, purchase order, or other document of Buyer.

Offers expire in 30 days and are subject to change or revocation prior to acceptance.

We accept verbal acceptances of NAM’s offer, but require those acceptances to be confirmed via fax, mail, or e-mail. In the absence of a confirming acceptance, the order will be understood to be correct as taken by NAM.

All goods shall be subject to tolerances and variations consistent with usual trade practices regarding dimensions, straightness, section, composition and mechanical properties and normal variations in surface and internal conditions and quality and shall also be subject to deviations and tolerances and variations consistent with practical testing and inspection methods.

NAM is governed by the limits of liability standard to the industry. LIABILITY IS LIMITED TO THE COST OF MATERIALS PURCHASED OR THE REPLACEMENT OF THOSE MATERIALS AT NAM’S OPTION, AND THIS SHALL BE THE SOLE AND EXCLUSIVE REMEDY OF THE BUYER, WHETHER IN TORT, CONTRACT, OR OTHERWISE. NO WARRANTIES ARE EXTENDED CONCERNING THE MATERIAL SOLD, BEYOND THE DESCRIPTION APPEARING ON THE FACE OF THE INVOICE. THERE ARE NO EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL NAM BE LIABLE FOR INJURY TO PERSON OR PROPERTY OR FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR COMMERCIAL LOSSES OR ANY OTHER LOSS OR DAMAGE.

Return of any material requires prior authorization from NAM’s Quality Assurance Department.

Errors in shipments and shortage of material should be reported to NAM immediately. Additionally, any shipment lost or damaged by a common carrier must be reported to the carrier directly as soon as possible.

Terms of payment, unless otherwise approved in writing by NAM management are Net 30 Days. NAM’s Credit Department may, at its option, request updated or additional credit information from the Buyer in order to continue to offer credit terms.
These commodities are controlled for export by the United States Government under the Export Administration Regulations. Diversion contrary to U.S. Law is prohibited. Buyer is responsible to comply with these regulations if the items are to be exported from the United States or re-exported from a foreign country.
